1. Acceptance of Terms

By accessing or using Mihu AI's services, website, or applications (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). These Terms apply to all visitors, users, and others who access or use the Services.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.

2. Description of Services

Mihu AI provides an AI-powered contact center platform that enables businesses to automate customer communications. Our Services include:

• Voice Agent: AI-powered phone call handling and automation
• Messaging Agent: Automated messaging across WhatsApp, Instagram, Facebook, and SMS
• Agent+ Maker: No-code AI agent creation and configuration tools
• Contact Center: Unified inbox and conversation management
• Analytics: Performance metrics and business insights
• Integrations: APIs, webhooks, and third-party connections

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.

3. User Accounts

Account Registration

To use certain features of the Services, you must register for an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information as needed
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

Account Requirements

• You must be at least 18 years old to create an account
• You must provide a valid email address and phone number
• Business accounts must provide valid company information
• One person or entity may not maintain multiple free accounts

4. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Services for any illegal or unauthorized purpose
• Violate any applicable laws, regulations, or third-party rights
• Send spam, unsolicited messages, or make unauthorized calls
• Impersonate any person or entity or misrepresent your affiliation
• Interfere with or disrupt the Services or servers
• Attempt to gain unauthorized access to any systems or data
• Upload malicious code, viruses, or harmful content
• Use the Services to harass, abuse, or harm others
• Collect or harvest user data without consent
• Reverse engineer, decompile, or disassemble the Services
• Resell or redistribute the Services without authorization
• Use the Services in violation of telecommunications regulations (TCPA, etc.)

5. Intellectual Property

Our Rights

Mihu AI and its licensors own all rights, title, and interest in and to the Services, including all intellectual property rights. The Services are protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used without our prior written permission.

Your Content

You retain ownership of any content you submit to the Services ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing the Services.

Feedback

Any feedback, suggestions, or ideas you provide about the Services may be used by us without any obligation to you.

6. Payment Terms

Fees and Billing

• Fees are based on your selected plan and usage
• All fees are quoted in US dollars unless otherwise specified
• Subscription fees are billed in advance on a monthly or annual basis
• Usage-based charges are billed monthly in arrears
• All payments are non-refundable except as required by law

Payment Methods

We accept major credit cards, debit cards, and ACH transfers. By providing payment information, you authorize us to charge your payment method for all fees due.

Late Payments

Accounts with overdue payments may be suspended or terminated. We may charge interest on overdue amounts at 1.5% per month or the maximum rate permitted by law.

7. Termination

Termination by You

You may cancel your account at any time through your account settings or by contacting support. Cancellation takes effect at the end of your current billing period.

Termination by Us

We may suspend or terminate your account immediately if:

• You violate these Terms or our Acceptable Use Policy
• Your account is used for illegal activities
• You fail to pay fees when due
• We are required to do so by law
• We discontinue the Services

Effect of Termination

Upon termination, your right to use the Services ceases immediately. We will retain your data for 30 days, after which it may be permanently deleted. You remain responsible for any fees incurred prior to termination.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that:

• The Services will be uninterrupted, secure, or error-free
• Results obtained from the Services will be accurate or reliable
• Any defects or errors will be corrected
• The Services will meet your specific requirements

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIHU AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO MIHU AI IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

10. Indemnification

You agree to indemnify, defend, and hold harmless Mihu AI, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Services
• Your User Content
• Your violation of these Terms
• Your violation of any third-party rights
• Your violation of any applicable laws or regulations

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Services shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in such courts.

12. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after changes constitutes acceptance of the modified Terms.

For significant changes, we will provide at least 30 days' notice before the changes take effect.
